Labor and Employment Law

Ken represents employers, employees and labor unions in a wide range of labor and employment law issues — in state and Federal court, as well as before the EEOC (Equal Employment Opportunity Commission), state and local human rights agencies, the NLRB (National Labor Relations Board), OSHA (Occupational Safety and Health Administration), and labor arbitrators.

He provides counsel in the following areas of labor and employment law:

  • Wage and hour matters, including representation before the U.S. Department of Labor and the Illinois Department of Labor
  • Employment discrimination and retaliation matters, including representation before the EEOC, the Illinois Department of Human Rights and the Illinois Human Rights Commission
  • Workplace safety and health matters, including counseling clients on maintaining a safe and healthy workplace and representation before OSHRC and the Illinois Department of Labor
  • Employment agreements, including confidentiality obligations, non-compete provisions, executive compensation, and breach of fiduciary duties
  • Termination issues, including severance agreements and risk assessment
  • Representing and counseling employers and employees in collective bargaining, representation campaigns, and unfair labor practices, including representation before the NLRB.
  • Training management in employment law compliance, including anti-harassment and workplace safety and health
  • Assisting clients in the development, drafting, implementation and administration of workplace policies and procedures in areas including EEO and workplace harassment, workplace violence, drug testing, social media, and employee handbooks

Corporate and Commercial Law

Ken represents many small and mid-sized businesses across numerous industries. His client roster includes: C and S corporations, professional services corporations, medical corporations, partnerships and limited liability companies.

He provides the following services:

  • Counseling entrepreneurs in selecting an appropriate business entity
  • Preparing Shareholder Agreements for owners of corporate stock
  • Preparing and reviewing contracts
  • Coordinating the purchase and sale of many different types of businesses and assets
  • Assisting in commercial loan transactions with major lending institutions
  • Assisting in business succession planning including buy-sell, shareholder and partnership agreements
  • Assisting in the resolution of shareholder and partnership disputes
  • Preparing Owner/Contractor and Owner/Architect agreements for the construction of commercial projects
  • Drafting stock purchase, employment independent contractor, license, distributorship and sales representative agreements
  • Engaging in various methods of conflict resolution for business disputes including mediation, arbitration, and, if necessary, litigation

Real Estate

Ken provides legal counsel on both commercial and residential real estate matters. He represents buyers and sellers, landlords (individuals and property management companies) and tenants, individuals as well as corporate and partnership entities.

He represents these clients in the following real estate matters:

  • Purchase and/or sale of commercial, industrial, or residential real estate, including contract formation and review and closings
  • Residential, retail, office, commercial and industrial lease and sublease agreements
  • Section 1031 like-kind exchange transactions to obtain substantial income tax benefits
  • Environmental matters relating to the purchase and sale of real estate, including obtaining and evaluating Phase I and Phase II environmental assessments, and resolving environmental issues that may affect the closing of transactions
  • Preparation of mortgage, security and other loan documents in connection with the purchase and sale of industrial and commercial real estate
  • Preparation of letters of intent for the purchase, sale and lease of real estate
  • Preparation of option and right of first refusal agreements to purchase and lease real estate
  • Litigation involving landlord/tenant matters, evictions, foreclosures and collections.
